Terms of Service
1. Acceptance of Terms By using services provided by Scribe Aid LLC ("Scribe Aid," "we," "us"), an entity wholly owned by Rehman Labs LLC, you ("Client," "you," or "your") agree to these Terms of Service ("Terms"). If you disagree with any part of these Terms, do not use our services.
2. Description of Services Scribe Aid provides Virtual Clinical Support Services, including remote medical scribing, charting, and transcription. Services are delivered virtually through secure digital platforms by independent contractors ("Clinical Support Specialists" or "Virtual CSS") located outside the United States.
3. Client Responsibilities Clients agree to:
Coordinate directly with assigned Virtual CSS for daily workflow management.
Provide clear instructions and schedules for service delivery.
Maintain secure access to necessary medical documentation systems.
4. Payment Terms and Billing
Services are billed biweekly based on hours actually worked during the preceding period.
Clients must keep a valid payment method (credit card, debit card, or ACH) on file.
Payments will be automatically processed biweekly based on approved service hours.
Clients have 14 days from invoice issuance to dispute charges in writing; after this period, invoices are considered final and undisputed.
All fees paid are non-refundable.
5. Cancellations
Either party may terminate services by providing written notice.
Clients remain liable for payment of services rendered up to the effective cancellation date.
Scribe Aid reserves the right to terminate services immediately due to non-payment or unresolved billing disputes.
6. Refund Policy Services are virtual and time-based; thus, no refunds or returns are applicable once services have been rendered and billed.
7. Dispute Resolution
Clients must promptly notify us at hello@scribeaid.com regarding service or billing disputes.
We will mediate and attempt resolution in good faith, which may include service reassignment.
Disputes raised beyond 14 days from invoice issuance are waived and ineligible for resolution.
8. Privacy and Confidentiality
Scribe Aid maintains strict HIPAA compliance and privacy measures.
Clients are responsible for HIPAA compliance within their organizations and ensuring secure communication with our Virtual CSS.
We are not liable for compliance failures on the part of independent contractors; however, we provide documentation and oversight to maintain standards.
9. Limitations of Liability To the fullest extent allowed by law, Scribe Aid's total liability is limited to three (3) times the fees paid by the Client in the 30 days preceding the event giving rise to the claim. Scribe Aid shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or business opportunities, regardless of whether the damages are foreseeable.
10. Independent Contractor Relationship
Clinical Support Specialists are independent contractors, not Scribe Aid employees.
Scribe Aid does not guarantee or warrant the actions, quality, or compliance of independent contractors beyond reasonable oversight measures.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Scribe Aid, its affiliates, officers, employees, contractors, and agents against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising directly from:
The Client’s improper or unauthorized use of our services.
The Client’s breach of any provision of these Terms.
The Client’s violation of applicable laws or regulations.
12. Changes to Terms Scribe Aid reserves the right to update these Terms at any time. Clients will be notified via email or through updates posted on our website. Continued use of services after updates constitutes acceptance of revised Terms.
13. Governing Law and Jurisdiction These Terms shall be governed by the laws of the State of New York, USA. Any disputes shall be resolved exclusively in the courts located in Albany County, New York.
14. Entire Agreement These Terms constitute the entire agreement between you and Scribe Aid concerning your use of our services, superseding any prior agreements.
